The Seller hereby agrees and covenants as to honoring the following terms and conditions of this agreement as per the International Chamber of Commerce ICC rules for International Trade, INCOTERMS Edition 2000.

Delivery quantum & schedule to be agreed upon between end Seller and end Buyer (TTM or direct contact). Delivery of 10.000.000 (ie : By Vessels Aprox. 10.000 mmt per Month will be delivered until 120.000 mt completed). Delivery to start within 25 working days from closing of DC.
Any request for POP upfront will see the immediate termination of such FCO
and contract, as POP will be the result of administrative & financial process, in due time.

8. Payment : By non operative RDLC SWIFT, unconditional, transferable/callable/revolving from PRIME BANK ONLY
( for value of every shipment delivered upon completion of discharge at Buyer’s port, based on the surveyor’ s certification of quality and quantity of every shipment delivered )
or MT799 reserved, blocked and callable for one year from PRIME BANK ONLY
( value for one month shipment, based on the surveyor’ s certification of quality and quantity of every shipment delivered )

The Bank Account provided in Attachment D/E takes MT799 or non operative RDLC SWIFT as per the presented Format.

9. P. Bond : 2% unconditional SBLC of the face value of the mon operative RDLC SWIFT

10. Penalty : In the event of non-performance by the Seller, after the
receipt, verification and authentication of Buyer’s Pre-advice non operative RDLC
SWIFT for a) 2% PB, b) POP c) Product delivery, the Seller
will pay within 35 days delivery time the Full Face amount of
the shipment in the even the Buyer, after signing this FCO,
fails in his commitment to SWIFT the Pre advice SWIFT
outlined in item 8, the Buyer pays the seller 50% of the face
value within 15 days of signing the contract


PROCEDURE (NON NEGOCIABLE):

A Buyer issues fresh LOI or ICPO

B Seller/Assigned issues FCO [This document]
Any request for POP upfront will see the immediate termination of such FCO and contract, as POP will be the result of administrative & financial process, in due time.

C Buyer signs, seals this FCO five (4 pages) and send CLEAN, CLEAR scanned copies
by return email to seller/assigned to the Sellers facilitator ____________________
for draft contract which is to be signed electronically by the corporate Buyer.

D Seller signs and seals contract , lodges it with his bank , sends it to the buyer for his

action with his bankers to send the Pre advice Non Operative RDLC SWIFT, unconditional, transferable/callable/revolving


A copy of the swift dispatch to the Seller’s bank his send by email to (OA)

Pre- Advice Non Operative RDLC Conditions :

Within 5 banking days of receiving the Pre-Advice non operative RDLC SWIFT, Seller will issue 2% Performance Bond (no Cash Bond)
Within 6-10 banking days, the Buyer’s Bank, on receipt of the 2% Performance Bond and the POP, will immediately lift the restriction of the non operative RDLC, thus making it an operative instrument.

The Seller will present the POP to the Buyer on an EDT basis by mutual agreement, Bank to Bank with copy to Buyer , with :

i. Copy of license to export, issued by the ministry of energy.
ii.Copy of approval to export, issued by the ministry of justice.
iii.Copy of statement of availability of the product.
iv.Copy of the refinery commitment to produce the product.
v.Copy of Transneft contract to transport the Product to the Port storage tank(s).
vi.Copy of the Port Storage agreement.
vii.Copy of surveyor’s certification of quality and quantity at loading port.

E After receipt of 2% Performance Bond, Buyer issues invitation to Seller to proceed to
his destination for a TTM to sign Contract Original Copies and for TTM on shipping
outlay and other relevant details.


F Seller charter vessels and the charter agreement will include endorsement stating and
include Buyer’s name with assigned quantities. Seller loads the cargo and get ready
with all documentation.

G Payment will be effected based on the surveyor’s certification of quality and quantity.
No payment will be affected for the last shipment, with the PB returned to the Seller
